The MBO market has remained quite active in Ireland throughout 2004, the absence of big deals, which typified the high points of 2003. Key MBO deals this year included €65 million Bachelors deal and the MBO of Athlone Extruslions from the Quinn Group.
Dermot Grant, managing director, Origin Corporate Finance, assessing MBO's from the business owners perspective said: "There are distinct advantages for the vendor on selling to the management team. Generally, management know all aspects of the business and there will be less extensive due diligence process. The management team should require limited warranties and indemnities from the vendor.
"The key therefore to planning your exit whether to management or other third parties is to plan your strategy and get necessary advice well in advance to put the necessary incentives, legal and tax structures in place to maximise your consideration."
